TERMS AND CONDITIONS OF THE LICENCE

The terms here apply to use of all software used within Team Building Rescue activties, including Space Rescue and any other activities that may become available from time to time.

IMPORTANT - Please read these terms and conditions carefully.  
By using this product, you are agreeing to abide by these terms and conditions.

GENERAL
This licence agreement (hereinafter Agreement) applies to the use of that part of the package called Space Rescue which is computer Software, hereinafter called the Software.  The Section Headings are for clarity and do not alter the terms of the agreement in any way.  The Software combines some open source software used under the GPL licence with copyrighted software developed and owned by Resource Wizard Limited and marketed exclusively by Sandstone Limited.

DEFINITIONS
In this Agreement the following terms shall have the following meanings
- "Applicable Owner" means the owner of Software, copyright, patents and other intellectual property rights of the component parts comprising the Software
- "Resource Wizard" means Resource Wizard Limited of the United Kingdom
- "Seller" and "Reseller" means an authorised reseller of Resource Wizard Limited
- "Team Building Rescue" and "Space Rescue" means the Software and copyright owned by Resource Wizard and marketed exclsuively through Sandstone Limited via this web site.
- "Network" means a method of connecting a number of computers together for the purpose of accessing or transferring Software
- "Session" means one team running the Software once for the natural duration of the activity
- "Site" means a single building or a collection of buildings which share a common boundary
- "Evaluation Session" means a Session of Space Rescue which is provided free of charge by Sandstone for the purposes of evaluating the product

GRANT OF LICENCE
Subject to payment in advance of any session, Resource Wizard permits you to use the Software once for a single team Session. You do not acquire ownership of the Software but acquire the non-exclusive right to use the Software, subject to the purchase of a Session at a published or agreed rate.  Copying the Softwarefor local use does not constitute such use.  The Software is not to be copied or attempted to be copied in any manner.  Every time you use the Software you must pay in advance for any Session unless your have been granted an Evaluation Session in writing.  Sessions can be purchased either individually or in any volume from www.teambuildingrescue.com or Sandstone Limited directly.

DURATION
Your right to use the Software will automatically cease without cancellation if you violate the conditions of this Agreement.

COPYRIGHT
All title and copyrights in and to the Software (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Software), and any copies of the Software are owned by Resource Wizard unless otherwise stated. The Software is protected by copyright laws and international treaty provisions. Therefore, you must treat the Software like any other copyrighted material.

OTHER RESTRICTIONS
You are not entitled to reverse engineer, decompile, disassemble, modify or duplicate the Software wholly or in part, or use with any hardware or Software other than expressly set out in this Agreement. You may not rent or lease the Software and the data contained therein may not be sold or otherwise provided to any third party save to the extent that it is used within a team building Session for customers of the licence owner.  This Agreement may not be transferred to a third party.  You are further not entitled to run the Software at any time without a valid and paid for Session irrespective of any Software protection built into the Software to prevent such misuse malfunctioning.

RIGHT OF MODIFICATION
Resource Wizard reserves the right to modify or enhance the Software if this becomes necessary for reasons of availability, serviceability, performance or due to legislation or governmental regulations.

DAMAGE CLAIMS
You agree to ensure that any third party to whom you give instructions and who has access to the Software will act with due care and diligence as stated in this Agreement, and that you will hold Resource Wizard or its authorised reseller harmless of the actions of any such third party.  If you become aware that the Software is used in such a way that violates the conditions of this Agreement, you agree to take every action necessary to stop its improper use, and will notify Resource Wizard in writing of its improper use.

LIMITED WARRANTY
Resource Wizard does not warrant that the Software will be accurate or meet your specific requirements, or that operation will be defect or error free. Resource Wizard will not be liable for any damages whatsoever arising from the use of the Software.  You expressly acknowledge that the use of the Software is at your own risk. Resource Wizard makes no claims, either expressed or implied, as to the fitness of the Software for any particular purpose.  Any statements made concerning the utility of the Software are not to be construed as expressed or implied warranties.  The warranty period is 30 days from the date of delivery and it is incumbent upon you to inform Resource Wizard Limited or the authorised reseller that you purchased the session from of any problems encountered during the session.  Where such problems are reasonably within the control of the seller, you may be offered a full or partial refund or a replacement Session, at the discretion of the seller.  This warranty is void if failure of the Software has resulted from accident, abuse or misapplication.  The Software is dependent upon a reliable internet connection that allows HTTP access to the server and any interruption in that connection is not a reason for a claim against the seller unless the connection problem can be shown to be the fault of the seller's server infrastructure.  Any further damage claims are explicitly excluded.

EVALUATION
Where you have been granted access to the Software in the form of an Evaluation Session, you are not allowed to use the product for one or more real team building sessions as granted but not for commercial gain of any kind.  All terms and conditions of this agreement apply to the maximum extent possible for an Evaluation Copy.

LIABILITY
To the maximum extent permitted by law, in no event shall Resource Wizard be liable for any damages whatsoever (including without limitation direct or indirect damages for personal injury, loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if Resource Wizard or the Seller has been advised of the possibility of such damages. In any event the Seller and / or Resource Wizard’s entire liability under any provision of this Agreement shall be limited to the price paid by you for the Session.

FORCE MAJEURE
Resource Wizard shall not be liable to you for any loss or damage which may be suffered by you as a direct or indirect result of the use of the Software by Resource Wizard or its reseller, agent or distributor, due to any cause beyond its reasonable control whatsoever, including (without limitation) any act of God, inclement weather, war, military operations, riot, strike, lock-out, trade dispute or labour disturbance, accident, breakdown of plant or machinery, failure or shortage of power supplies, fire, explosion, refusal of any licence or permit or any order, act or omission of Government, highways authorities, public telecommunication operators or other competent authority.

INVALID CLAUSES
Should any clause of this Agreement be or become invalid, this does not affect the validity of the remaining clauses. In such a case, the invalid clause will be superseded by another clause which is closest to the intended purpose of the invalid clause.

GOVERNING LAW
This agreement shall be governed by and construed and interpreted in accordance with English law and you agree to submit to the jurisdiction of the English courts.

DISCLAIMER
All rights reserved.  No part of this team building package may be reproduced, stored in a retrieval system, or transmitted, in any form or by any means without the prior written permission of Resource Wizard Limited.  All characters and organizations in this team building package are fictitious and any resemblance to real persons, living or dead, or real organisations, is purely coincidental.

CHANGES TO THESE TERMS AND CONDITIONS
Although most changes are likely to be minor, we may change these Terms and Conditions from time to time, and in our sole discretion. We encourage visitors to frequently check this page for any changes to the Terms and Conditions. Your continued use of this site and the software after any change in this Terms and Conditions will constitute your acceptance of such change.
